Terms of Service

1. The agreement

These Terms of Service form an agreement between TULIP SOFTWARES ("Kothadesk", "we") and the organisation that creates a workspace ("Customer", "you"). By creating a workspace or using the service you accept these terms on behalf of that organisation and confirm you have authority to do so.

2. Accounts

Workspace members sign in with a verified email address and a password. You are responsible for the people you invite, for keeping credentials confidential and for activity in your workspace. Tell us promptly about any unauthorised use.

3. The service and your AI provider

Kothadesk provides software to index your content, answer questions through a chat widget, hosted page or SDK, and hand conversations to your team. Answers are generated by an AI provider you choose, using an API key you supply.

Your use of that provider is governed by your own agreement with it. The provider bills you directly; Kothadesk does not resell or bill model usage. You are responsible for keeping your provider account in good standing.

4. Plans and fees

Paid plans are billed in advance for the chosen period in the currency shown at purchase (Indian rupees or US dollars). Fees exclude taxes unless stated. Plan limits apply as described on the pricing page and in the dashboard.

Free plan: you can use Kothadesk on the free plan at no charge, within its limits. Try the free plan before you buy a paid plan.

Renewal: a paid plan renews automatically at the end of each monthly or annual period for the same period, until you cancel. You can cancel at any time in the dashboard; cancellation takes effect at the end of the current period, you keep the paid plan until then, and the workspace then moves to the free plan.

Refunds: fees for a paid period are non-refundable, including for unused time, downgrades and cancellation part way through a period. If we charge you in error, for example twice for the same period, we will refund the incorrect charge. Nothing in these terms limits any refund you are entitled to by law.

Price changes: we may change plan prices. We will email the workspace owner at least 30 days before a new price applies. It takes effect from your next renewal, not during a period you have already paid for, and you can cancel before then to avoid it.

5. Your content and data

You retain all rights in the content you add and in conversation data. You grant us a limited licence to host, copy, process and display it only to provide, secure and support the service. Our Data Processing Addendum applies to personal data we process for you.

We do not use your content or conversations to train AI models.

6. Acceptable use

You must follow the Acceptable Use Policy. You are responsible for the content you add, the tools you connect and the instructions you give your assistant.

7. AI output

AI-generated answers can be incomplete or wrong. Kothadesk grounds answers in your sources and applies safety checks, but you remain responsible for reviewing your configuration and for decisions based on answers. The assistant identifies itself as an AI; do not present it as a human.

8. Suspension and termination

You may stop using the service and delete your workspace at any time. We may suspend a workspace that breaches these terms or threatens the security of the service, with notice where practical. After deletion, workspace data is kept for 30 days and then permanently purged.

9. Warranties and liability

The service is provided "as is" to the extent permitted by law. [Warranty disclaimer, liability cap, exclusions and indemnities to be completed by counsel.]

10. Changes, law and contact

We may update these terms and will give notice of material changes before they take effect.
